TERMS OF USE

These terms and conditions of use (Hereinafter referred to as “Terms of Use”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and John Salt Private Limited registered under the Companies Act, 2013 having its address at 17-5-241 Matha Ki Khidki, Hyderabad, Telangana - 500023 (Hereinafter referred to as “Landeed”), concerning your access and use of this website www.landeed.com, mobile-optimized versions of the website, the Landeed iOS and Android applications, and any other media formats for the purposes of use and promotion of www.landeed.com and the Landeed iOS and Android applications (Hereinafter referred to as the “Covered Products”)

The Covered Products provides a platform and infrastructure that uses analytical tools and services which utilize collated, organized and interpreted data from land records, property registrations, tax filings, court mandates, land-use regulations, master plans, cadastral surveys, infrastructure plans, municipal by-laws, building codes and planning requirements.

Further, The Terms of Use describe the terms applicable to your use of the Covered Products and the products (including but not limited to property title opinions and document procurement services), software and services offered on these Covered Products (Hereinafter collectively referred to as “Services”)

You agree that by accessing the Services, you have read, understood and expressly agree to accept these Terms of Use in full and to be bound by all the terms laid out in the Terms of Use. IF YOU DO NOT AGREE WITH ANY OR ALL TERMS MENTIONED HEREIN, THEN YOU MAY NOT ACCESS OR OTHERWISE USE THE SERVICES.

You represent and warrant that you are an individual of legal age to form a binding contract as per the laws of India. All users who are minors must have the permission of, and be directly supervised by their parent or guardian to use the Services.

1. License

Subject to the compliance with Terms of Use and payment of fees (if and as applicable), Landeed grants you a non-transferable, non-exclusive, license to use the Covered Products for your personal, non-commercial use.

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country.

2. Intellectual Property Rights

Excluding your User Content (defined in clause 7), you acknowledge that all the intellectual property rights, including copyrights, patents, trademarks, and trade secrets, in the Covered Products are owned by Landeed or its licensors, or by the content suppliers. The provision of the Covered Products does not transfer to you or any third party any rights, title or interest in or to such intellectual property rights. Landeed or its licensors, or content suppliers reserve all intellectual property rights not specially granted in these Terms of Use.

3. Restrictions on Use

The rights granted to you under these Terms of Use are subject to the restrictions provided below, you shall not:

license, sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit the Covered Products, without express written consent of Landeed;
modify, make derivative works of, disassemble, reverse compile or reverse engineer any part of the Covered Products;
circumvent, disable or otherwise interfere with security-related features of the Services, including features that prevent or restrict the use or copying of any content;
access the Covered Products in order to build a similar or competitive service;
copy, reproduce, distribute, republish, download, displayed, post or transmit in any form or by any means, any part of the Covered Products, for any commercial purpose, without express written consent of Landeed;
use the Covered Products in any way that causes, or may cause, damage to the Covered Products or impair the availability or accessibility of the Covered Products or in any way which is unlawful, illegal, fraudulent or harmful, or in connection with any unlawful, illegal, fraudulent or harmful purpose or activity;
conduct any systematic or automated data collection activities on or in relation to the Covered Products without express written consent of Landeed;
use the Covered Products or any part of it to transmit or send unsolicited commercial communications, or for any other purposes related to marketing, without express written consent of Landeed;
use any information obtained from the Services in order to harass, abuse, or harm another person;
harass, intimidate or threaten any of our employees or agents engaged in providing any portion of the Services to you; and
use the Services in a manner inconsistent with any applicable laws or regulations.

4. User Accounts

You may need to register an account with us in order to use or access some of the Services on the Covered Products and also to generate content on the Covered Products (Hereinafter referred to as “User Registration”):

If you are registering on the Covered Products you have to provide limited information like your name, phone number, email address etc. However, if you are making payment to avail any of the Services then additional details like billing information.
Your User Registration gives you access to the Services on the Covered Products which may include you disclosing description of properties.
Your User Registration shall be valid throughout the world, borderless and shall automatically entitle you to access your account from a different geographical territory, unless specifically prohibited by Landeed.
You will be solely responsible for maintaining the confidentiality of your User Registration and log-in details and we will not be responsible for misuse of your User Registration by any third party, whether authorized by you or not. You may never use another user's account without permission. You are also prohibited from sharing your log-in details and letting anyone access your account, or do anything that might put your account at risk.
You are responsible for any activity on the Covered Products arising out of any failure to keep your User Registration confidential, and may be held liable for any losses arising out of such a failure. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
Landeed reserves the right to refuse to offer access to or use of the Covered Products to any person or entity at their sole discretion including by changing its eligibility criteria at any time.

5. User Representations

You represent and warrant that:

You have the legal capacity and you agree to comply with these legal terms;
You will not access the Services through automated or non-human means, whether through a bot, script or otherwise;
all required registration information you submit is truthful, accurate and complete and you will maintain the accuracy of such information;
You will not use the Services for any illegal unauthorized purpose which will violate any applicable law or regulations.

If you provide any information that is untrue, inaccurate, not current, or incomplete we have the right to suspend or terminate your account and refuse any and all current or future use of the Services (or any portion thereof).

6. Purchases and Payment third party services

You may use a third-party payment gateway to make payments to us, or to other vendors through the Covered Products. The processing of payments will be subject to the terms, conditions and privacy policies of the payment processor, in addition to these Terms of Use, and you hereby explicitly agree to comply with the same. The terms of your payment will be based on your payment method and may be determined by agreements between you and the financial institution, credit card issuer or other provider of your payment method. We are not responsible for any error by the payment processor.

We reserved the right to refuse any order placed through the Covered Products. We may, in our sole discretion, limit or cancel quantities purchased per person. We reserve the right to prohibit orders that, in our sole judgment, appear to be placed for illegal/harmful purposes.

7. User Content

The Covered Products may allow visitors and users to submit to, or use with, the Covered Products, information and content including but not limited to submitting reviews (“User Content”). Such User Content is neither pre-screened nor verified by Landeed. Accordingly, Landeed does not claim any liability for any consequence arising out of or in connection with such User Content. While we will do our best to monitor, reject, edit or remove such User Content (as applicable), we neither endorse the opinions expressed in the User Content nor guarantee the completeness, truthfulness, accuracy, or reliability of any of the User Content. You therefore agree to use the User Content for informational purposes only and any reliance placed on the same shall be solely at your own risk.
You grant to us a worldwide, irrevocable, non-exclusive, royalty-free, perpetual and fully sub-licensable right to use, reproduce, store, adapt, publish, translate, prepare derivative works from, publicly display, distribute, incorporate into other works, and otherwise use your User Content. You hereby irrevocably waive all your moral rights in your User Content, to the maximum extent permitted by applicable law.
We may provide you areas on the Services to leave reviews or ratings. When posting a review you must comply with the following criteria:

You should have firsthand experience with the person/entity being reviewed;
Your review should not contain offensive profanity, or abusive, racist, offensive or hateful language;
Your reviews should not contain discriminatory references based on religion, race, gender, national origin, age, marital status, sexual orientation or disability;
Your reviews should not contain references to illegal activity; and
You may not post any false or misleading statements.

We may accept, reject, or remove reviews at our sole discretion. We have absolutely no obligation to screen reviews or to delete reviews, even if anyone considers reviews objectionable or inaccurate. Reviews are not endorsed by us, and do not necessarily represent our opinions or the views of any of our affiliates or partners. We do not assume liability for any review or for any claims or losses resulting from any review.

8. External Content

The Covered Products might contain links to third party websites, services, and advertisements for third parties. Third party websites may in turn link to the Covered Products. You acknowledge and agree that third party websites, advertisements and services are not under the control of Landeed and Landeed is not responsible for the information, content, products, services, advertising, or other materials which may be provided therein (“External Content”).
The inclusion of any link to such External Content on the Covered Products does not imply Landeed’s endorsement, sponsorship, or recommendation of such External Content. Landeed specifically states that the links to External Content have been provided for convenience purpose and Landeed does not review, approve, monitor, warrant, make any representations, or assume any liability whatsoever in connection with the use or reliance of such External Content.
We strongly advise you to read the terms and conditions and privacy policies of any third party websites or services that you click on or use.

9. Privacy Policy

We care about data privacy and security. Please review our Privacy Policy to understand what kind of information we gather from you and the specific measures we take to protect your personal information. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Terms of Use by reference.

10. Limitations and Exclusions of Liability

All information, content, materials, products (including software) and Services included on or otherwise made available to you on or through the Covered Products are provided on an “as is” without any representations or warranties, and other terms which might otherwise be implied by statute, common law or the law of equity including, but not limited to, implied warranties of merchantability and fitness for a particular purpose.
Landeed does not warrant that the information, content, materials, products (including software) or other Services included on or otherwise made available to you on or through the Covered Products (whether by Landeed, its suppliers, content providers and advertisers), Landeed's servers or electronic communications sent by Landeed are free of viruses or other harmful components.
Landeed shall not be liable for any damages whatsoever, including but without limitation to any direct, indirect, special, consequential, punitive or incidental damages, or damages for business losses, loss of contracts or business relationships, profits, data, database, software or other intangibles, damage to goodwill or reputation, or the cost of procurement of substitute goods and Services, arising out of or related to the use, inability to use, performance or failure of the Covered Products and any materials posted thereon, products (including software) or other Services or otherwise made available to you on or through the Covered Products, irrespective of whether such damages were foreseeable or arise in contract, tort, equity, restitution, by statute, at common law or otherwise.
Without prejudice to the generality of the foregoing paragraph, Landeed does not warrant or represent (i) the completeness or accuracy of the information published on the Covered Products; (ii) that the material on the Covered Products is up to date; and (iii) that the Covered Products or any Service on the Covered Products will remain available.

11. Breach of Terms of Use

Without prejudice to Landeed's other rights under these Terms of Use, if you breach these Terms of Use in any way, or if we reasonably suspect that you have breached these terms and conditions in any way, we reserve the right to, in our sole discretion and without notice or liability, take such action as we deem appropriate to deal with the breach, including:

temporarily suspend your access to the Covered Products;
permanently prohibit you from accessing the Covered Products;
blocking computers / devices using your IP address from accessing the Covered Products;
contacting any or all of your internet service providers and request that they block your access to the Covered Products;
commence legal action against you, whether for breach of contract or otherwise; and/or
suspend or delete your User Registration.

12. Governing Law and Dispute Resolution

These terms and conditions shall be governed by and construed in accordance with the laws of India. Indeed and yourself irrevocably consent that the courts of India shall have exclusive jurisdiction to resolve any dispute which may arise in connection with the Terms of Use.
Any disputes relating to these terms and conditions shall be subject to the exclusive jurisdiction of the courts of Telangana, India.

13. Modifications and Interruptions

There may be information on the Services that contains typographical errors, inaccuracies or omissions including descriptions, pricing, availability and various other information, We reserve the right to correct any errors, inaccuracies or omissions and to change or update the information on the Services at any time without prior notice.
We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on our Services. We also reserve the right to modify or discontinue all or part of the Services without notice at any time. We will not be liable to you or any third party for any modification, price change, suspension or discontinuation of the Services.
We cannot guarantee the Services will be uninterrupted. We may experience hardware, software or other problems or need to perform maintenance related to the Services, resulting in interruptions, delays, or errors. You agree that we have no liability for any loss, damage or inconvenience caused by your inability to access or use the Services during any downtime or discontinuance of the Services. Nothing in the Terms of Use will be construed to obligate us to maintain and support the Services or to supply any corrections, updates or releases in connection therewith.

14. Severability

If a provision of these Terms of Use is determined by any court or other competent authority to be unlawful and/or unenforceable, the other provisions will continue in effect. If any unlawful and/or unenforceable provision would be lawful or enforceable if part of it were deleted, that part will be deemed to be deleted, and the rest of the provision will continue in effect.

15. Entire Agreement

These Terms of Use, together with the Privacy Policy constitute the entire agreement between you and Landeed in relation to your use of the Covered Products, and supersede all previous agreements in respect of your use of the Covered Products. Please note, however, that other aspects of your use of Services may be governed by additional agreements, including service level agreements and software license agreements (“Individual Service Agreement”). You will agree to terms and conditions of such Individual Service Agreement when you sign up for that particular product, function, or service. An Individual Service Agreement supplements these Terms of Use. If any term of this Agreement expressly conflicts with any term of an Individual Service Agreement, the conflicting term in the Individual Service Agreement will control. All other terms and conditions in both this Agreement and the Individual Service Agreement will remain in force.

16. Indemnification

You agree to indemnify and hold each of Landeed, its subsidiaries, affiliates and all our representative officers, agents, partners, its directors, employees and contractors, harmless from any claim or demand, including reasonable solicitors' fees and expenses, made by any third party due to or arising out of your use of the Covered Products and / or any Services therein, the breach of these Terms of Use by you, or the infringement by you of any intellectual property or other right of any other person or entity.

17. Changes to the Terms of Use

Landeed reserves the right, at its sole discretion, to change, modify, add or remove any portion of the Terms of Use, in whole or in part, at any time. If we make any substantial changes to these Terms of Use, we may notify you by prominently posting notice of the changes on the Covered Products. Any changes will be effective upon expiry of thirty (30) calendar days following our posting of notice of the changes on the Covered Products. These changes will be effective immediately for new users of our Covered Products. Your continued use of the Covered Products and/or the Services made available on or through the Covered Products after any changes to the Terms of Use are posted will be considered acceptance of those changes.

18. Electronic communications. Transactions and Signatures

Visiting the Services, sending us emails and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that all agreements, notices, disclosures and other communications we provide to you electronically via email and on the Services, satisfy any legal requirement that such communication be in writing.
You hereby agree to the use of electronic signatures, contracts, orders and other records and to electronic delivery of notices, policies and records of transactions initiated or completed by us or via the Services.
You hereby waive any right or requirement under any statutes, regulations, rules, ordinances or other laws in any jurisdiction which require an original signature.

19. Confidentiality

Subject to the express permissions of these Terms of Use, you and us will protect each other's Confidential Information from unauthorized use, access or disclosure in the same manner as each protects its own Confidential Information, but with no less than reasonable care.
Except as otherwise expressly permitted pursuant to these Terms of Use, each of us may use each other's Confidential Information solely to exercise our respective rights and perform our respective obligations under these Terms of Use and shall disclose such Confidential Information solely to those of our respective employees, representatives and agents who have a need to know such Confidential Information for such purposes and who are bound to maintain the confidentiality of, and not misuse, such Confidential Information.
The term 'Confidential Information' shall mean all information disclosed or accessed by you to us or by us to you which is labeled “confidential” (or with a similar legend) or which a reasonable person would understand to be confidential given the nature of the information and circumstances of disclosure. For purposes of these Terms of Use, User Content and User Registration shall be deemed Confidential Information.
Notwithstanding the foregoing, Confidential Information shall not include information that (i) was already known to the receiving party at the time of disclosure by the disclosing party; (ii) was or is obtained by the receiving party by a third party not known by the receiving party to be under an obligation of confidentiality with respect to such information; (iii) is or becomes generally available to the public other than by violation of these Terms of Use; or (iv) was or is independently developed by the receiving party without use of the disclosing party's Confidential Information.

20. Communication
